AGB für Pilates-Retreats (Pauschalreise)

Allgemeine Reise- und Buchungsbedingungen für Pilates-Retreats (Pauschalreisen)

  1. Geltungsbereich und Vertragspartner
Diese Allgemeinen Reisebedingungen (nachfolgend „AGB“) gelten für Verträge über die Durchführung von Pilates-Retreats als Pauschalreise zwischen [Ihr Name / Ihr Unternehmen], [Ihre Adresse] (nachfolgend „Veranstalter“) und dem Reisenden (nachfolgend „Kunde“).

  2. Vertragsschluss und gesetzliche Pflichten

  6. Anwendbares Recht und Gerichtsstand
Es gilt das Recht der Bundesrepublik Deutschland.

1) Scope of Application

1.1 These General Terms and Conditions (hereinafter "T&Cs") of Rebecca Mundl, operating under "Rebecca Mundl" (hereinafter "Provider"), apply to all contracts for participation in online live courses and the provision of digital content (hereinafter "Services") concluded between a consumer or business (hereinafter "Customer") and the Provider regarding the services presented on the Provider's website. Any terms and conditions of the Customer are hereby objected to, unless otherwise agreed.

1.2 "Business" within the meaning of these T&Cs means a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, is acting in the exercise of their commercial or independent professional activity. "Consumer" within the meaning of these T&Cs means any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.

1.3 Digital content within the meaning of these T&Cs is data that is created and provided in digital form.

2) Services of the Provider

2.1 The Provider provides digital content via its website. The subject matter of this content follows from the respective service description on the Provider's website.

2.2 The Provider performs its services through qualified personnel selected by it. The Provider may also make use of the services of third parties (subcontractors) acting on its behalf. Unless otherwise stated in the Provider's descriptions, the Customer has no right to select a specific person to perform the contracted service.

2.3 The Provider performs its services with the greatest care and to the best of its knowledge. However, the Provider does not guarantee any specific outcome. In particular, the Provider gives no assurance that the Customer will achieve a particular result or reach a specific performance goal. This depends not least on the Customer's personal effort and will, over which the Provider has no influence.

2.4 Where the Provider provides digital content in the form of reproducible video material, this is done exclusively via an online video stream using appropriate technical means. For proper playback of the stream, the Customer's system must meet certain minimum requirements, which are communicated to the Customer on the Provider's website. The Customer is responsible for ensuring these system requirements are met. The Provider is not liable for technical problems resulting from inadequate system requirements on the Customer's side.

Where the Provider offers other digital content that does not consist of reproducible video material, this is made available for download by the Provider via the website and/or by email.

3) Conclusion of Contract

3.1 The services described on the Provider's website do not constitute a binding offer by the Provider, but rather serve to invite the Customer to submit a binding offer.

3.2 The Customer may submit their offer via the online form provided on the Provider's website. By entering their data into the form and clicking the button that concludes the registration process, the Customer submits a legally binding contractual offer regarding the selected service. The Customer may also submit the offer by telephone, fax, email, or post to the Provider.

3.3 The Provider may accept the Customer's offer within five days by:

  • sending the Customer a written or text-form (fax or email) confirmation of registration, whereby receipt of the confirmation by the Customer is decisive, or

  • requesting payment from the Customer after they have submitted their contractual declaration.

If several of the aforementioned alternatives apply, the contract is concluded at the point in time at which one of the aforementioned alternatives occurs first. If the Provider does not accept the Customer's offer within the aforementioned period, this is deemed a rejection of the offer, with the effect that the Customer is no longer bound by their declaration of intent. For a contract for participation in an online live course, the same applies if the course selected by the Customer begins before expiry of the acceptance period and the Provider does not accept the Customer's offer at the latest 24 hours before the start of the course, unless otherwise agreed between the parties.

3.4 When an offer is submitted via the Provider's online form, the text of the contract is stored by the Provider after conclusion of the contract and sent to the Customer in text form (e.g., email, fax, or letter) after the Customer's offer has been sent. The Provider does not make the contract text available in any other way. If the Customer has set up a user account on the Provider's website prior to sending the offer, details of the ordered service are archived on the Provider's website and can be accessed free of charge by the Customer via their password-protected user account using the corresponding login details.

3.5 Before submitting a binding offer via the online form, the Customer may continuously correct their entries using the usual keyboard and mouse functions. In addition, all entries are displayed once again in a confirmation window before the offer is submitted, and can also be corrected there using the usual keyboard and mouse functions.

3.6 German is available as the language for concluding the contract.

3.7 The Provider generally contacts the Customer by email to process the contract. The Customer must ensure that the email address provided when submitting the offer is correct, so that emails sent by the Provider can be received at that address.

4) Right of Withdrawal

Consumers generally have a right of withdrawal. Further information on the right of withdrawal can be found in the Provider's withdrawal instructions.

5) Prices and Payment Terms

5.1 The prices stated by the Provider are total prices. No VAT is charged, as the Provider is exempt from VAT under the small business regulation (Kleinunternehmer).

5.2 Various payment methods are available to the Customer, as indicated on the Provider's website.

5.3 For payments made in countries outside the European Union, additional costs may arise in individual cases, for which the Provider is not responsible and which must be borne by the Customer. These include, for example, costs for money transfers by credit institutions (e.g., transfer fees, exchange rate fees).

5.4 If advance payment by bank transfer has been agreed, payment is due immediately upon conclusion of the contract, unless the parties have agreed on a later due date.

5.5 If a payment method offered via the payment service "Mollie" is selected, payment processing is carried out by the payment service provider Mollie B.V., Keizersgracht 126, 1015 CW Amsterdam, Netherlands ("Mollie"). Mollie may use additional payment services to process payments, which may be subject to special payment terms that the Customer may be separately notified of. Further information on "Mollie" is available online at https://www.mollie.com/de/.

5.6 If a payment method offered via the payment service "PayPal" is selected, payment processing is carried out by PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg ("PayPal"), subject to the PayPal Terms of Use, available at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full, or — if the Customer does not have a PayPal account — subject to the terms for payments without a PayPal account, available at https://www.paypal.com/de/webapps/mpp/ua/privacywax-full.

5.7 If the payment method "Sofortüberweisung" (instant bank transfer) is selected, payment processing is carried out by Klarna Bank AB (publ), Sveavägen 46, 11134 Stockholm, Sweden ("Klarna"). To pay the invoice amount via "Sofortüberweisung," the Customer must have an online banking account enabled for participation in "Sofortüberweisung," must authenticate themselves accordingly during the payment process, and must confirm the payment instruction. The payment transaction is then carried out immediately by Klarna and the Customer's bank account is debited. Further information on the "Sofortüberweisung" payment method is available online at https://www.klarna.com/sofort/.

5.8 If the payment method credit card via Stripe is selected, the invoice amount is due immediately upon conclusion of the contract. Payment processing is carried out by the payment service provider Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland ("Stripe"). Stripe reserves the right to conduct a creditworthiness check and to decline this payment method in the event of a negative result.

6) Content of the Services and Accompanying Course Materials

6.1 The Provider holds all usage rights required to perform the Services. This also applies to any materials that may be provided to the Customer in connection with the performance of the Services.

6.2 Any materials accompanying the Services (e.g., documents) will be provided to the Customer exclusively in electronic form, either by email or for download. Unless otherwise agreed, the Customer has no right to receive the materials in physical form.

6.3 The Customer may use the content of the Services, including any materials provided, only to the extent necessary for the contractual purpose agreed upon by both parties. Without separate permission from the Provider, the Customer is in particular not entitled to record the content of the Services or parts thereof, or to reproduce, distribute, or make publicly available any materials.

7) Provision of Digital Content and Granting of Usage Rights

7.1 Unless otherwise stated in the content description in the Provider's online shop, the Provider grants the Customer a non-exclusive right to use the provided content solely for private purposes.

7.2 Digital content in the form of recorded video material is provided exclusively via an online video stream using appropriate technical means. Other digital content that does not consist of reproducible video material is provided for download.

7.3 The granting of rights only becomes effective once the Customer has paid the contractually owed remuneration in full. The Provider may provisionally permit use of the contractual content even before this point in time. Such provisional permission does not constitute a transfer of rights.

8) Liability for Defects

Statutory liability for defects applies.

9) Liability

The Provider is liable to the Customer for all contractual, quasi-contractual, and statutory claims, including tortious claims, for damages and reimbursement of expenses, as follows:

9.1 The Provider is liable without limitation, regardless of the legal basis:

  • in cases of intent or gross negligence,

  • for intentional or negligent injury to life, body, or health,

  • on the basis of a guarantee promise, unless otherwise agreed,

  • on the basis of mandatory liability, such as under the German Product Liability Act.

9.2 If the Customer is a consumer domiciled in Germany or a business, the following limitations of liability apply:

If the Provider negligently breaches a material contractual obligation, its liability is limited to the foreseeable damage typical for this type of contract, unless it is subject to unlimited liability under the preceding clause. Material contractual obligations are obligations that the contract imposes on the Provider according to its content in order to achieve the purpose of the contract, the fulfillment of which enables the proper execution of the contract in the first place, and on whose observance the Customer may regularly rely. In all other respects, the Provider's liability is excluded, unless it is subject to unlimited liability under the preceding clause.

9.3 The above liability provisions also apply to the Provider's liability for its vicarious agents and legal representatives.

10) Applicable Law

10.1 German law applies to all legal relationships between the parties, to the exclusion of the laws on the international sale of movable goods. For consumers, this choice of law only applies insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the state in which the consumer has their habitual residence.

10.2 Furthermore, with regard to the statutory right of withdrawal, this choice of law does not apply to consumers who, at the time of conclusion of the contract, are not nationals of a Member State of the European Union and whose sole domicile and delivery address at the time of conclusion of the contract are located outside the European Union.

11) Alternative Dispute Resolution

The seller is neither obligated nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
